The Business Advisory & Regulatory Compliance Unit of DCSL Corporate Service Limited provides advisory services with respect to corporate set-up, appropriate legal form and structure, as well as statutory and regulatory compliance matters having significant impact on businesses.

Investment & Corporate Structure Advisory

Statutory & Regulatory Compliance

We acknowledge that keeping abreast of and complying with statutory and regulatory requirements are onerous. Our Statutory & Regulatory Compliance service entails providing prompt and proactive advice on statutory and regulatory requirements applicable to our clients and keeping them abreast of changes as they occur.

Real Estate Advisory

We provide comprehensive advice on the acquisition and disposal of landed property, registration of title and matters related thereto. , etc. We also conduct property due diligence to ascertain ownership, existence of encumbrance, etc.

Contract Drafting & Review

The Unit provides contract drafting and review services which covers all types of contract, including commercial and vendor contracts, confidentiality agreements, Oil & Gas agreements, license agreements, employment and consulting agreements, Tenancy agreement, joint venture agreements Merger & Acquisition related agreements and other agreements.

Employment Matters  

The Unit handles employment matters including;

  •   Employment Contract templates for all cadre of staff,
  •   Advising on employee share option schemes and preparing scheme documents, and
  •   Advising on the provisions of the Employees Compensation Act and registration with the Nigerian Social Insurance Trust Fund (NSITF)

Local Content Gap Analysis

To ensure compliance with the provisions of the of the Nigerian Oil & Gas Content Development Act  as well as the Guidelines for Local Content Compliance in the ICT Sector, the Unit conducts  comprehensive gap analysis to identify e compliance gaps, make recommendations and assist with remedial steps required to bridge identified gaps.

Due Diligence

Our due diligence services include;

  • Legal Due Diligence Service for strategic investment including but not limited to Mergers, Takeovers, Share Acquisition etc. Performing a full assessment of the possible legal risks related to the corporate status, assets, contracts, securities, intellectual property and personnel of the target company
  • Statutory Health check– This entails reviewing Company’s files with regulators to ascertain that all records are accurate and up to date and provision of advice and rectification measures as required.
  • Character Due Diligence – Using our business and social networks, we are able to undertake background checks and conduct due diligence on the suitability or otherwise of prospective business partners.
